Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Liberty Books Publishing ("Company," "we," "our," or "us"), located at 7796 Capital Peak Ln W, Memphis, TN 38125. By accessing our website, requesting a quote, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Description of Services

Liberty Books Publishing provides professional children's book writing, manuscript development, editing, story structuring, and related publishing consultation services (collectively, "Services"). The specific scope of Services for each project will be outlined in a separate project agreement or proposal agreed upon by both parties.

2. Quotes and Project Agreements

All quotes provided are estimates based on the information available at the time of inquiry. A final project price and scope will be confirmed in a written project agreement before work commences. Quotes are valid for 30 days from the date of issuance unless otherwise stated.

Work on a project will not begin until:

  • A written project agreement has been signed or accepted by both parties, and
  • Any required deposit or initial payment has been received.

3. Payment Terms

3.1 Payment Schedule

Unless otherwise specified in your project agreement, the following payment structure applies:

  • A deposit (typically 50% of the total project fee) is due before work begins.
  • The remaining balance is due upon completion of the project and before final files are delivered.

3.2 Accepted Payment Methods

We accept payment via credit/debit card, bank transfer, or other methods as agreed upon in writing. All payments must be made in US Dollars (USD) unless otherwise agreed.

3.3 Late Payments

Payments not received within 7 days of the due date may result in a pause of all project work. We reserve the right to charge a late fee of 1.5% per month on outstanding balances. If payment is not received within 30 days, we reserve the right to terminate the project agreement.

4. Revisions and Edits

The number of revision rounds included in your project will be specified in your project agreement. Revisions beyond the agreed scope will be subject to additional charges at our standard hourly rate. Revision requests must be submitted in writing within 7 days of receiving each deliverable.

5. Refund Policy

5.1 Deposits

Deposits are non-refundable once work has commenced, as they compensate for time allocated to your project.

5.2 Project Cancellation by Client

If you cancel a project after work has begun, you will be charged for all work completed up to the date of cancellation. Any unused portion of payments made beyond the work completed will be refunded within 21 business days.

5.3 Project Cancellation by Company

If Liberty Books Publishing cancels a project for reasons not related to client breach, a full refund of any payments made for work not yet completed will be provided within 21 business days.

6. Intellectual Property

6.1 Ownership Upon Full Payment

Upon receipt of full and final payment, all intellectual property rights to the completed manuscript and related deliverables will transfer to you, the Client. Until full payment is received, all work remains the property of the Company.

6.2 Portfolio Use

Unless you request otherwise in writing, Liberty Books Publishing reserves the right to display completed projects in our portfolio, website, and marketing materials. We will not disclose confidential project details without your consent.

6.3 Client-Provided Materials

You represent and warrant that any materials, ideas, or content you provide to us are either your original work or you have the necessary rights and permissions to use them. You agree to indemnify us against any claims arising from third-party intellectual property infringement related to materials you provide.

7. Confidentiality

We treat all client project details, manuscripts, and personal information as confidential. We will not share your project details with third parties except as necessary to perform our services (e.g., subcontractors under confidentiality agreements) or as required by law.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Liberty Books Publishing shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with our services, including but not limited to lost profits, loss of data, or business interruption.

Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to us for the specific project giving rise to the claim.

9. Disclaimer of Warranties

Our services are provided on an 'as is' basis. We make no warranties, express or implied, regarding the success of your published work, sales performance, or any specific outcome from using our services. Writing and publishing involve inherent uncertainties, and results may vary.

10. Publishing and Distribution

If our services include guidance or assistance with publishing and distribution, please note that acceptance by publishers, distributors, or platforms is at their sole discretion. We do not guarantee acceptance, publication, or commercial success of any manuscript we work on.

11. Client Responsibilities

To ensure a smooth and timely project, you agree to:

  • Provide timely, complete, and accurate information required for the project.
  • Review and provide feedback on deliverables within agreed timeframes.
  • Make payments on time according to the agreed payment schedule.
  • Communicate any changes in project scope promptly and in writing.

Project delays caused by late responses or missing information from the Client may result in revised timelines and/or additional charges.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, USA, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Gwinnett County, Georgia, in accordance with the rules of the American Arbitration Association.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued use of our services after changes are posted constitutes your acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with your project agreement and any other documents incorporated by reference, constitute the entire agreement between you and the Company with respect to its subject matter and supersede all prior agreements and understandings.
